Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Lexikon ("Service"), operated by Lexikon ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

Description of Service

Lexikon is an AI-powered product intelligence platform that helps teams understand their software products. The Service allows you to:

  • Connect GitHub repositories to Lexikon
  • Index and analyze your connected sources
  • Ask questions in natural language about your products
  • Receive AI-generated answers based on your repository content
  • Collaborate with team members on product knowledge

Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

GitHub Integration

By connecting your GitHub repositories to Lexikon, you:

  • Authorize us to access the repositories you select
  • Grant us permission to read, index, and analyze repository content
  • Confirm you have the right to grant such access
  • Understand that we will store indexed data to provide the Service

We will never modify your code, create commits, or perform any write operations on your repositories. You can revoke access at any time through your GitHub settings or by disconnecting repositories in Lexikon.

Subscription and Billing

Free Tier

Lexikon offers a free tier with limited features. Free tier users are subject to usage limits on repositories, indexed files, and questions.

Paid Subscriptions

Paid subscriptions (Pro and Enterprise) are billed monthly or annually. By subscribing:

  • You authorize us to charge your payment method on a recurring basis
  • Subscription fees are non-refundable except as required by law
  • Additional per-seat charges apply when you invite team members
  • Usage beyond plan limits may incur additional charges

Price Changes

We may change our prices with 30 days' notice. Price changes will apply at the start of your next billing cycle. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You will retain access until the end of your current billing period
  • No refunds will be provided for partial months
  • Your account will revert to the free tier
  • Data exceeding free tier limits may become inaccessible

Bring Your Own API Keys

Pro and Enterprise users may provide their own API keys for AI providers. When using your own API keys:

  • You are responsible for all charges from the API provider
  • You must comply with the API provider's terms of service
  • We are not liable for any issues with third-party API services
  • You are responsible for keeping your API keys secure

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Access repositories or data without authorization
  • Attempt to reverse engineer or extract AI models
  • Circumvent usage limits or security measures
  • Interfere with or disrupt the Service or servers
  • Transmit malicious code, viruses, or harmful data
  • Use the Service to compete with Lexikon
  • Resell, sublicense, or redistribute the Service
  • Scrape, crawl, or harvest data from the Service

Intellectual Property

Your Content

You retain all rights to your code, repositories, and content. By using the Service, you grant us a limited license to access, process, and store your content solely to provide the Service. This license terminates when you disconnect your repositories or delete your account.

Our Service

Lexikon and its original content, features, and functionality are owned by Lexikon and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works based on our Service without our express permission.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

AI-Generated Content

The Service uses artificial intelligence to generate responses to your questions. You acknowledge that:

  • AI-generated responses may not always be accurate or complete
  • Responses should not be relied upon as the sole source of truth
  • You are responsible for verifying information before acting on it
  • We do not guarantee the accuracy of any AI-generated content
  • AI responses may occasionally produce unexpected or incorrect results

Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal information. By using the Service, you agree to our Privacy Policy.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not warrant the accuracy, reliability, or completeness of any AI-generated content or information provided through the Service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXIKON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Lexikon and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you provide through the Service

Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.

Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within 30 days, either party may pursue formal legal remedies.

YOU AGREE TO RESOLVE ANY DISPUTES WITH US ON AN INDIVIDUAL BASIS, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lexikon regarding the Service and supersede any prior agreements.
